End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and EdMyst ("Company", "We", "Us", or "Our") for the use of the EdMyst application, website, and related services (collectively, the "Software").

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SOFTWARE.

 

1.   License Grant

1.1. License: Subject to the terms and conditions of this EULA and any specific terms in the agreement between EdMyst and the User or the company the User works for (the "Agreement"), the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal, non-commercial use or as otherwise specified in the Agreement.

 

2.   Restrictions

2.1. Prohibited Uses: You agree not to:

  • Modify, reverse engineer, decompile, or disassemble the Software.
  • Use the Software in any manner that could damage, disable, overburden, or impair the Software.
  • Rent, lease, lend, sell, redistribute, or sublicense the Software.
  • Copy, distribute, or create derivative works based on the Software.
  • Use the Software for any unlawful purpose or in violation of any local, state, national, or international law.

2.2. Third-Party Software: Any third-party software included in the Software is licensed to you under the relevant third-party software's license terms.

 

3.   Intellectual Property

3.1. Ownership: The Software is protected by copyright, trademark, and other laws of the United States and foreign countries. The Company owns all rights, title, and interest in and to the Software, including all intellectual property rights.

3.2. No Rights Granted: Except for the limited license granted herein and any rights granted under the Agreement, this EULA does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights in respect of the Software.

 

4.   Updates and Upgrades

4.1. Updates: The Company may from time to time provide updates, upgrades, or new versions of the Software. These updates may be automatically installed without providing any additional notice or receiving any additional consent.

4.2. Modifications: The Company reserves the right to modify, suspend, or discontinue the Software (or any part thereof) at any time with or without notice to you.

 

5.   Privacy and Data Collection

5.1. Privacy Policy: Your use of the Software is also governed by our Privacy Policy, which can be accessed at [Privacy Policy URL]. By using the Software, you consent to the collection and use of your information as outlined in the Privacy Policy.

 

6.   Termination

6.1. Termination by You: You may terminate this EULA by uninstalling and ceasing all use of the Software.

6.2. Termination by Company: The Company may terminate this EULA at any time without notice if you breach any term of this EULA. Upon termination, you must cease all use of the Software and uninstall all copies.

6.3. Effect of Agreement: Termination of this EULA does not affect the validity or terms of the Agreement, which shall continue to govern the relationship between you (or the company you work for) and the Company.

 

7.    Disclaimer of Warranties

7.1. AS-IS Basis: The Software is provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

 

8.   Limitation of Liability

8.1. No Liability: To the maximum extent permitted by applicable law, in no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, business interruption, loss of information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if the Company has been advised of the possibility of such damages.

 

9.   Governing Law

9.1. Jurisdiction: This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles, or such jurisdiction specified in the . You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

 

10.   General

10.1. Severability: If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

10.2. Entire Agreement: This EULA, along with the Agreement, constitutes the entire agreement between you and the Company regarding the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.

10.3. Amendments: The Company reserves the right to amend this EULA at any time. Any amendments or modifications will be effective immediately upon posting the revised EULA.

 

BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
